Dave Zawitz

General Counsel

Dave Zawitz serves as General Counsel of PBM Capital, where he advises his partners on all legal matters affecting the firm, including new investments (both venture capital investments and acquisitions), exit transactions, administration of the PBM investment vehicles, and general securities and corporate governance matters. Dave also provides corporate governance and contract review services to PBM Capital portfolio companies.  As part of the executive team, he leads legal due diligence reviews and other matters in support of the evaluation of new investment opportunities.   

Dave joined PBM Capital in 2018 from CarMax, Inc., where he served as the Fortune 250 company’s lead finance attorney and covered all capital markets transactions (including issuances of over $27 billion of securities) corporate venture capital activities, and related compliance matters. Dave also advised the CarMax board of directors on corporate governance and securities matters. Prior to CarMax, Dave practiced law in the securitization and structured finance practice at McKee Nelson LLP and Bingham McCutchen LLP, two law firms that are now part of Morgan, Lewis & Bockius LLP, in Washington D.C. 

Dave holds a B.S.C. in Commerce with concentrations in Finance and Information Technology from the University of Virginia and a J.D. from the University of Virginia School of Law. He is a CFA® Charterholder.
